1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.

From time to time, we may introduce optional features or tools within the Services, including audience-building, messaging, collaboration, or host networking features (collectively, "Feature Terms").

Collaboration Tools

The Services may enable users to collaborate on listings or experiences. Each listing designates a Primary Organizer responsible for the listing and may include one or more contributors ("Collaborators"). All payouts for a listing are disbursed solely to the Primary Organizer's account.

2. INTELLECTUAL PROPERTY RIGHTS

Our Intellectual Property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Your Use of Our Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to:

• access the Services; and
• download or print a copy of any portion of the Content to which you have properly gained access,

solely for your personal, non-commercial use, or internal business purpose.

Your Submissions and Contributions

By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submission.

When you post Contributions, you grant us a license (including use of your name, trademarks, and logos) to use, copy, reproduce, distribute, sell, resell, publish, broadcast, and exploit your Contributions for any purpose, commercial, advertising, or otherwise.

Copyright Infringement

We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes upon any copyright you own or control, please immediately refer to the "DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA) NOTICE AND POLICY" section below.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

1. All registration information you submit will be true, accurate, current, and complete
2. You will maintain the accuracy of such information and promptly update such registration information as necessary
3. You have the legal capacity and you agree to comply with these Legal Terms
4. You are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Services
5. You will not access the Services through automated or non-human means
6. You will not use the Services for any illegal or unauthorized purpose
7. Your use of the Services will not violate any applicable law or regulation

4. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password.

We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

5. PRODUCTS

We do not sell physical goods. We provide access to a technology platform that enables users to discover, create, manage, and participate in group travel experiences and related services.

Any trip listings, itineraries, add-on activities, pricing, availability, and descriptions displayed on the Services are provided by independent hosts and third-party providers.

All trips, experiences, and add-on activities are subject to availability, minimum and maximum attendee requirements, confirmation thresholds, and cancellation rules.

6. PURCHASES AND PAYMENT

Accepted Payment Methods

We accept the following forms of payment through our third-party payment processor(s):

• Stripe (primary payment processor)
• Credit and debit cards
• Apple Pay
• PayPal

Trip Payments, Escrow, and Payouts

Certain trip payments, including deposits and installment payments, may be held in escrow through Stripe Connect until trip confirmation or other triggering events.

Third-party Payment Processor Disclaimer

PAYMENTS ARE PROCESSED THROUGH THIRD-PARTY PAYMENT PROCESSORS. WE DO NOT CONTROL AND ARE NOT RESPONSIBLE FOR THE PERFORMANCE, AVAILABILITY, OUTAGES, ERRORS, PROCESSING DELAYS, OR SYSTEM FAILURES OF STRIPE OR ANY OTHER THIRD-PARTY PAYMENT PROVIDER.

7. SUBSCRIPTIONS

All subscription plans, features, pricing, billing cycles (monthly or annual), free trials, and renewal terms are described on the applicable subscription plan page.

Billing and Renewal

If you enroll in a paid subscription, you authorize us to charge your selected payment method on a recurring basis in accordance with the pricing and billing terms displayed at the time of enrollment.

Cancellations and Refunds

You may cancel your subscription at any time. Subscription fees are non-refundable except where required by law.

8. RETURN/REFUNDS POLICY

All purchases made through the Services are subject to the cancellation, refund, and payment rules set forth below.

Trip Confirmation, Deposits, and Escrow

Prior to a trip being confirmed, travelers may be required to pay a deposit equal to twenty percent (20%) of the total trip price. Such deposits are held in escrow through our payment processor.

Traveler Cancellations

More Than Thirty (30) Days Before Trip Start:

• The twenty percent (20%) deposit is non-refundable
• Platform fees are non-refundable
• Any remaining balance paid will be refunded

Thirty (30) Days or Less Before Trip Start:

• All amounts paid are non-refundable
• No refunds or credits will be issued
• Travel insurance is strongly recommended

Host Cancellations

Before Trip Confirmation: Travelers receive a full refund of all amounts paid, including platform fees.

After Trip Confirmation (Breach of Responsibility):

• Travelers receive a full refund of all amounts paid, including platform fees
• The host must return all payouts previously received
• The host must reimburse all platform fees paid on the host's behalf
• The host agrees to pay a reasonable administrative and cost-recovery charge of two hundred fifty dollars ($250) per confirmed attendee

Travel Insurance

We are not an insurance provider. Travelers who decline travel insurance acknowledge and assume all financial risks associated with cancellation, medical expenses, force majeure events, or host non-performance occurring after booking.

9. SOFTWARE

The Services include software-based tools and functionality provided on a software-as-a-service (SaaS) basis.

Subject to your compliance with these Legal Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal or internal business purposes.

10. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available.

As a user of the Services, you agree not to:

• Systematically retrieve data or other content from the Services to create or compile a collection, compilation, database, or directory without written permission from us
• Make any unauthorized use of the Services, including collecting usernames and/or email addresses of users
• Circumvent, disable, or otherwise interfere with security-related features of the Services
• Engage in unauthorized framing of or linking to the Services
• Trick, defraud, or mislead us and other users
• Make improper use of our support services or submit false reports of abuse or misconduct
• Engage in any automated use of the system
• Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services
• Attempt to impersonate another user or person
• Use any information obtained from the Services in order to harass, abuse, or harm another person
• Circumvent, avoid, or attempt to bypass any platform fees, service charges, escrow mechanisms, or booking workflows
• Solicit, encourage, or direct users to complete bookings, payments, communications, or transactions outside of the Services
• Use the Services as part of any effort to compete with us
• Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software
• Harass, annoy, intimidate, or threaten any of our employees or agents
• Upload or transmit viruses, Trojan horses, or other malicious material
• Use the Services in a manner inconsistent with any applicable laws or regulations
